1. Services

Backstage TC provides real estate transaction coordination services for licensed real estate professionals in Hampton Roads, Virginia and related markets, including support on the REIN MLS platform. Services may include listing coordination, contract-to-close management, dual-side coordination, deadline tracking, document preparation support, liaison work with transaction parties, and related administrative services as described on our website or in a written scope confirmation.

We are a transaction coordination provider, not a law firm, not a broker, and not a lender. We do not provide legal, tax, or financial advice.

2. Eligibility & Client Responsibilities

Our services are intended for licensed real estate agents, brokers, and their authorized teams. You represent that you have authority to engage us for the transactions you submit and to grant access to the platforms and information needed for coordination.

You remain solely responsible for:

• Your real estate license and compliance with Virginia DPOR requirements
• Reviewing and approving all contracts, addenda, and material transaction documents before they are executed or distributed
• Supervising your transactions and advising your clients
• Ensuring your brokerage permits use of third-party transaction coordination

3. Fees & Payment

Unless otherwise agreed in writing, our service fees are flat-rate and due only upon successful completion of the file (typically at closing). If a transaction is cancelled before successful completion, no service fee is owed for that file unless a separate written agreement states otherwise.

Pricing tiers published on our website (Listing Coordination, Contract-to-Close, Dual Agency) apply to the scope described for each tier. Additional work outside the agreed scope may require a separate fee agreement.

4. Platform Access & Confidentiality

To perform services, you may grant us access to brokerage-approved transaction systems such as Dotloop, Command, SkySlope, Brokermint, Transaction Desk, DocuSign, and similar platforms. You authorize us to use such access solely to perform coordination for your files.

We treat transaction information as confidential and use it only to provide services, comply with law, or as otherwise described in our Privacy Policy.

5. No Guarantee of Outcome

We use reasonable care and local expertise to coordinate transactions, track deadlines, and support compliant file management. However, we do not guarantee that any transaction will close, that third parties will perform timely, or that regulatory or brokerage interpretations will remain unchanged. Closing outcomes depend on many factors outside our control.

6. Limitation of Liability

To the fullest extent permitted by law, Golden Seal Virtual Solutions LLC and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost commissions, lost profits, or loss of business opportunity.

Our total liability for any claim arising out of or relating to our services shall not exceed the service fee paid to us for the specific transaction giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless Golden Seal Virtual Solutions LLC from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of our services, your transactions, your failure to review or approve documents, your violation of these Terms, or your violation of applicable law or brokerage policy, except to the extent caused by our gross negligence or willful misconduct.

8. Website Use

You agree not to misuse our website, attempt unauthorized access to our systems, interfere with site operation, or use the site for unlawful purposes. Content on the website is for general information and may change without notice.

9. Termination

Either party may stop working together on future files at any time. For an open file, we will use reasonable efforts to transition coordination back to you or another provider if you request termination, subject to any outstanding obligations and fees for work already completed under a separate agreement.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
